Services

Studio Nosa provides web design, technical SEO, and content services to businesses and individuals. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate project agreement or proposal. These Terms apply to all Studio Nosa engagements.

Project Process

Getting started

Projects begin after a signed agreement and receipt of the required deposit. Timelines start from the date both are confirmed — not from the date of inquiry.

Your responsibilities

We need your feedback, content, and approvals to move forward. Delays caused by late feedback or missing materials are not Studio Nosa's responsibility and may push your launch date. We'll always tell you what we need and when.

Scope changes

Work outside the agreed scope is handled through a written change order with updated pricing and timeline. We won't surprise you with additional fees for work you didn't ask for — and we ask that you don't expect work you didn't pay for.

Ownership & IP

You own your deliverables

Upon receipt of final payment, you own 100% of the work we built for you. Website files, design assets, copy, and code are yours. No gotchas. No ongoing licensing fees. No lock-in.

Portfolio rights

We reserve the right to display completed work in our portfolio and promotional materials unless you explicitly request otherwise in writing before project kick-off. We'll never share anything confidential.

Third-party assets

Some projects use licensed fonts, stock imagery, or plugins. Licensing terms for those assets follow the original vendor's agreement. We'll flag any third-party licenses that require ongoing renewal.

Payment

Structure

Most projects use a split-payment structure: a deposit to begin work and a final payment before launch or delivery. Retainer services are billed monthly. Payment structure is confirmed per project agreement.

Late payments

Unpaid invoices past their due date may result in work being paused until payment is received. If a payment is more than 30 days late, Studio Nosa reserves the right to charge a late fee of 1.5% per month on the outstanding balance.

Refunds

Deposits are non-refundable once work has begun — they cover the time and resources committed to your project. If a project is cancelled before substantial work is completed, we'll discuss a fair resolution case by case.

Revisions

Each project includes a defined number of revision rounds. Revisions are changes to agreed-upon work — not new features or scope additions. Feedback that results in a significant change of direction may be treated as a scope change and handled via a change order.

Confidentiality

Both parties agree to keep each other's confidential business information private. This includes (but is not limited to) business strategies, pricing, client lists, and unreleased products. This obligation survives the end of the project.

Limitation of Liability

Studio Nosa's maximum liability for any claim arising from a project is limited to the total fees paid by the client for that specific project. We are not liable for indirect, consequential, incidental, or punitive damages — including lost profits, lost data, or business interruption — even if we were advised such damages were possible.

We do our best work and stand behind it. But we can't guarantee specific SEO rankings, conversion rates, revenue growth, or third-party platform behaviour — those outcomes depend on factors outside our control.

Termination

Either party may terminate a project with written notice. Work completed up to the termination date is billable at the agreed rate or, if no rate was defined for partial work, at a fair market rate. Any materials produced to that point will be delivered upon receipt of final payment for completed work.

Governing Law

These Terms are governed by the laws of the Province of Manitoba, Canada. Any disputes will be resolved in Manitoba courts unless both parties agree to an alternative.

Changes to These Terms

We may update these Terms from time to time. Active client projects are governed by the Terms in effect at the time of signing unless explicitly updated by mutual agreement.
